Abstract

The General Law on Companies su- (1997) and its entry in forcé were a real - event in Peruvian law, for, in addition to regulating one of the legal persons that jurídicas has the most influence on legal trade - (companies), it modernised the handling of corporate matters and inspired innumerable doctrinal publications in the form of books and periodicals, on an individual and group basis. In order to find the scope of the law in matters of companies, one needs to know legislation, doctrine and jurisprudence. This paper focuses its interest on what is called registration jurisprudence, i.e., the decisions of the bodies in charge of interpreting and applying rules and doctrine in specific cases. Registration jurisprudence has revolved around a number of topics that are analysed in the article, such as shareholders' meetings (calis to meeting, quorums and majorities), directors, document- related issues, transfers of shareholdings in limited liability companies, abbreviated ñames, company compliance with the General Law on Companies, the presumption that companies are terminated when they display long periods of registration inactivity, etc.
