Abstract

When an organisation has a simple administration body consisting of directors, any remuneration set for the directors must be reflected in the organisation's by-laws. The remuneration agreement may also be made in a shareholders' agreement, however, which, as such, would then be opposable. Failure to acknowledge the agreed-to remuneration would constitute breach of contract.
