The case settled by the Supreme Court's ruling of 15 June 2010 offers an example of how a seller can, by taking a certain attitude, create contractual liability for him- or herself. In the case at issue, the seller of an interest in a private limited company failed to inform the buyer of the company's accounting irregularities and the insolvency of the company's franchisor. This liability can be analyzed from the standpoint of precontractual information duties under the general rule of good faith.
